Acceptance

In order to get any license under these terms, you must agree to them as both strict obligations and conditions to all your licenses.

Copyright License

The licensor grants you a copyright license for the software to do everything you might do with the software that would otherwise infringe the licensor's copyright in it for any permitted purpose. However, you may only distribute the software according to Distribution License and make changes or new works based on the software according to Changes and New Works License.

Distribution License

The licensor grants you an additional copyright license to distribute copies of the software. Your license to distribute covers distributing the software with changes and new works permitted by Changes and New Works License.

Notices

You must ensure that anyone who gets a copy of any part of the software from you also gets a copy of these terms or the URL for them above, as well as copies of any plain-text lines beginning with Required Notice: that the licensor provided with the software. For example:

Changes and New Works License

The licensor grants you an additional copyright license to make changes and new works based on the software for any permitted purpose.

Patent License

The licensor grants you a patent license for the software that covers patent claims the licensor can license, or becomes able to license, that you would infringe by using the software.

Noncommercial Purposes

Any noncommercial purpose is a permitted purpose.

Personal Uses

Personal use for research, experiment, and testing for the benefit of public knowledge, personal study, private entertainment, hobby projects, amateur pursuits, or religious observance, without any anticipated commercial application, is use for a permitted purpose.

Noncommercial Organizations

Use by any charitable organization, educational institution, public research organization, public safety or health organization, environmental protection organization, or government institution is use for a permitted purpose regardless of the source of funding or obligations resulting from the funding.

Fair Use

You may have "fair use" rights for the software under the law. These terms do not limit them.

No Other Rights

These terms do not allow you to sublicense or transfer any of your licenses to anyone else, or prevent the licensor from granting licenses to anyone else. These terms do not imply any other licenses.

Patent Defense

If you make any written claim that the software infringes or contributes to infringement of any patent, your patent license for the software granted under these terms ends immediately. If your company makes such a claim, your patent license ends immediately for work on behalf of your company.

Violations

The first time you are notified in writing that you have violated any of these terms, or done anything with the software not covered by your licenses, your licenses can nonetheless continue if you come into full compliance with these terms, and take practical steps to correct past violations, within 32 days of receiving notice. Otherwise, all your licenses end immediately.

No Liability

**As far as the law allows, the software comes as is, without any warranty or condition, and the licensor will not be liable to you for any damages arising out of these terms or the use or nature of the software, under any kind of legal claim.**

Plugin and Theme Exception

Plugins and themes that interface with the software through its plugin system, theme system, base classes, or APIs are not considered "changes or new works based on the software" for the purposes of this license. Authors of plugins and themes may license their own work under any terms they choose.

This exception applies only to plugins and themes — self-contained modules that extend the software's functionality or appearance through its designated extension points. It does not apply to modifications of the software's core files, which remain subject to this license.

Plugins and themes included in the official distribution of the software (those shipped by the licensor) are each governed by the LICENSE.md file in their own directory. A plugin or theme directory without its own LICENSE.md is licensed under these same terms.

Managed Operation Exception

Work done with the software on your instance by a contractor or service provider you engage — installing, configuring, updating, operating, or maintaining it — is your use under these terms, not theirs, provided they act at your direction and on your behalf. This applies only to an instance you control: your domain, your hosting account, your data. It does not permit anyone to offer the software or its functionality to others as their own hosted or managed service.

Definitions

The licensor is the individual or entity offering these terms, and the software is the software the licensor makes available under these terms.

You refers to the individual or entity agreeing to these terms.

Your company is any legal entity, sole proprietorship, or other kind of organization that you work for, plus all organizations that have control over, are under the control of, or are under common control with that organization. Control means ownership of substantially all the assets of an entity, or the power to direct its management and policies by vote, contract, or otherwise. Control can be direct or indirect.

Your licenses are all the licenses granted to you for the software under these terms.

Use means anything you do with the software requiring one of your licenses.


Joinery Business License

This is the license Joinery sells for business use. Running Joinery for personal, household, educational or nonprofit purposes needs no purchase and is covered by LICENSE.md instead. Buying a business license replaces those terms with the ones below, which permit commercial use. Business licenses are sold at <https://getjoinery.com>.

Acceptance

In order to get any license under these terms, you must agree to them as both strict obligations and conditions to all your licenses.

Grant

Each purchase grants you a perpetual, non-exclusive, non-transferable license to install and use the software on one production instance, for any purpose, commercial or not, except as limited by Noncompete below.

Staging, development, backup, and testing copies that support that one production instance are included. A second production instance requires a second purchase.

There is no limit on the number of people who use your instance, and no feature of the software is withheld from you.

Updates

Your purchase includes updates to the software for as long as the licensor makes them available. Updates are delivered under these same terms.

Permitted Use

You may operate your production instance for any purpose, including charging your own users. Serving your own customers with your own site is permitted use so long as the software's functionality is not itself the product you are selling them. Running your business on the software is permitted; offering the software's functionality to others as a hosted or managed service is addressed in Restrictions below.

You may read and modify the software's source code for your own use. Modified copies remain subject to these terms.

Noncompete

Any purpose is a permitted purpose, except for providing any product that competes with the software, or with any other product or service the licensor offers using the software as of the date the licensor makes your version of the software available to you.

Goods and services compete even when they provide functionality through different kinds of interfaces or for different technical platforms. Applications can compete with services, libraries with plugins, frameworks with development tools, and so on, even if they are written in different programming languages or for different computer architectures. Goods and services compete even when provided free of charge. If you market a product as a practical substitute for the software or another product, it definitely competes.

Using the software to run your own business is not competing. Reselling it, rebranding it, or offering it to third parties as a hosted or managed service is, except as permitted by Managed Operation.

Restrictions

You may not:

  • distribute, publish, sublicense, sell, or otherwise make the software's files — original or modified — available to any third party;
  • provide the software to third parties as a hosted or managed service, where the service provides users with access to any substantial set of the features or functionality of the software, except as permitted by Managed Operation;
  • remove or alter copyright or license notices in the software's files.
These restrictions do not apply to plugins and themes you write yourself. Code that interfaces with the software through its plugin system, theme system, base classes, or APIs is your own work, and you may license and distribute it under any terms you choose.

Managed Operation

You may engage a contractor or service provider to run your instance for you. Work done with the software on your instance by a provider you engage — installing, configuring, updating, operating, or maintaining it — is your use under these terms, not theirs, provided they act at your direction and on your behalf.

Likewise, you may provide those same professional services to another licensee of the software, for a fee or otherwise, where that customer holds their own license — a purchased business license, or the free noncommercial grant — and controls the instance: the hosting account, the domain, and the data, with the ability to replace you as operator while keeping all three. Services provided that way are not a hosted or managed service under Noncompete or Restrictions.

Nothing in this section permits anyone to offer the software or its functionality to others as their own hosted or managed service.

Fair Use

You may have "fair use" rights under copyright law, or other rights to use the software for limited purposes. These terms do not limit them.
